There are two separate legal entities:
- Scotchstone Capital Fund Ltd (the "Fund"); and
- Scotchstone Capital LLP (the "LLP").
The Fund is a private collective investment scheme recognised and supervised by the Malta Financial Services Authority. The LLP, incorporated under the Limited Liability Partnerships Act 2000 in the UK, is a body corporate with legal personality separate from that of its members. Scotchstone Capital LLP does not conduct regulated activities requiring authorisation. In relation to dealing in investments as principal, transactions falling within article 15 of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 are excluded from the regulated activity specified in article 14, subject to the conditions set out in article 15.
